When you or your customers make payments, card information is collected and processed directly by Stripe — we never store, see, or have access to credit card numbers on our servers. We use the information we collect to provide and improve our services, communicate with you about your account, send transactional emails (such as payment receipts and invoice notifications), and analyze website usage to improve the user experience. Terms of Service

The following terms govern your use of www.virtualmerchantservices.com and any services provided through it, including the free virtual terminal and invoicing tools hosted at app.posusa.com (collectively, the “Service”). The Service is operated by POS USA, LLC doing business as Virtual Merchant Services (“we,” “us,” or “our”).

By using the Service, you agree to these terms. If you do not agree, do not use the Service.

The Service

Virtual Merchant Services provides a free virtual terminal and invoicing platform for small businesses. Payments are processed through Stripe Connect. We do not directly process, store, or handle credit card information — all payment data is managed by Stripe in accordance with PCI DSS standards.

Your Account

You are responsible for maintaining the security of your account and all activity that occurs under it. You must provide accurate and complete information during signup. You must notify us immediately of any unauthorized access to your account.

Pricing & Fees

The virtual terminal and invoicing tools are provided at no monthly cost. Transaction fees apply when processing card payments:

• Cash Discount Program: A service fee (default 4%) is added to card transactions and passed to the cardholder. The merchant pays $0 in processing fees.
• Standard Processing: The merchant absorbs the processing fee (approximately 3.9% per transaction).

A platform fee of 1% is applied to each card transaction. We reserve the right to modify fees with 30 days written notice.

Stripe Connect

By using our payment tools, you agree to Stripe’s Connected Account Agreement, which includes Stripe’s Terms of Service. Stripe handles all KYC verification, sanctions screening, and fraud monitoring for connected accounts.

Prohibited Uses

You may not use the Service for any illegal activity, to process fraudulent transactions, to violate any applicable laws or regulations, or in any way that could damage or impair the Service. We reserve the right to terminate accounts that violate these terms.

Limitation of Liability

The Service is provided “as is” without warranties of any kind. We are not liable for any indirect, incidental, or consequential damages arising from your use of the Service. Our total liability shall not exceed the fees paid by you in the 12 months prior to any claim. We are not responsible for Stripe outages, payment disputes, or chargebacks on your account.

Indemnification

You agree to indemnify and hold harmless POS USA, LLC, its officers, employees, and agents from any claims, damages, or expenses arising from your use of the Service or violation of these terms.

Termination

Either party may terminate at any time. You can stop using the Service and close your account at any time. We may suspend or terminate your access if you violate these terms or if required by law.

Governing Law

These terms are governed by the laws of the State of New Mexico. Any disputes shall be resolved in the courts located in Santa Fe County, New Mexico.
